On the date of the closing of this offering, and in connection with that certain Common Stock Option and Purchase Agreement (the “RP Purchase Agreement”) with Royalty Pharma Investments 2019 ICAV, an Irish collective asset-management vehicle (“RPI”) and affiliate of Royalty Pharma Development Funding, LLC, dated May 22, 2024, RPI will purchase 980,392 shares of our common stock at a price of $51.00 per share. We refer to this transaction as the “concurrent private placement.” The RP Purchase Agreement also includes lockup provisions and is subject to customary closing conditions.

Company overview

We are a late-stage biopharmaceutical company focused on discovering, developing and commercializing first-in-class muscle activators and next-in-class muscle inhibitors as potential treatments for debilitating diseases in which muscle performance is compromised and/or declining. We have discovered and are developing muscle-directed investigational medicines that may potentially improve the health span of people with devastating cardiovascular and neuromuscular diseases of impaired muscle function. Our research and development activities relating to the biology of muscle function have evolved from our knowledge and expertise regarding the cytoskeleton, a complex biological infrastructure that plays a fundamental role within every human cell. As a leader in muscle biology and the mechanics of muscle performance, we are developing small molecule drug candidates specifically engineered to impact muscle function and contractility.

Recent developments

Clinical data update

On December 27, 2023, we announced topline results from the pivotal Phase 3 trial, SEQUOIA-HCM (Safety, Efficacy, and Quantitative Understanding of Obstruction Impact of Aficamten in HCM), in patients with symptomatic obstructive hypertrophic cardiomyopathy where we observed statistically significant and clinically meaningful improvements for primary efficacy endpoint and all secondary endpoints. On May 13, 2024, we announced the primary results from SEQUOIA-HCM at the European Society of Cardiology Heart Failure 2024 Congress and published in the New England Journal of Medicine. In addition to significantly improving peak oxygen uptake, this prespecified analysis demonstrated that treatment with aficamten for 24 weeks improved a novel integrated exercise performance metric. We also announced that dose down-titration in cases of low left ventricular ejection fraction (“LVEF”), potentially enabled ease of individualized dosing for patients treated with aficamten and employed dosing algorithms that enabled same-day dose adjustments. Results also reflected no major adverse cardiovascular events associated with treatment with aficamten.

Royalty Pharma update and concurrent private placement

Amendment to 2022 Development Funding Loan Agreement

On May 22, 2024, we entered into an amendment (the “2022 DFA Amendment”) to the Development Funding Loan Agreement dated January 7, 2022 (the “2022 DFA”) with Royalty Pharma Development Funding, LLC (“RP”) to provide for two tranches of additional term loans (the “Term Loans”) in an aggregate principal amount up to $225.0 million, consisting of a $50.0 million Tranche 6 Term Loan drawn immediately and a

$175.0 million Tranche 7 Term Loan drawable at our discretion within 1 year of a future FDA approval of aficamten in obstructive hypertrophic cardiomyopathy if such approval is obtained on or prior to December 31, 2025.

Each Term Loan matures on the 10 year anniversary of the funding date for such Term Loan and is repayable in quarterly installments of principal, interest and fees commencing on the last business day of the seventh full calendar quarter following the calendar quarter of the applicable funding date for such Term Loan, with the aggregate amount payable in respect of each Term Loan (including interest and other applicable fees) equal to 190.0% of the principal amount of the term loan (such amount with respect to each Term Loan, “Final Payment Amount”). Each Term Loan bears a nominal interest rate equal to 1.9%.

We may prepay all Term Loans in full (but not in part) at any time (which prepayment shall be accompanied by prepayment of all other outstanding tranches of term loans under the 2022 DFA) at its option by paying an amount equal to 150.0% to 190.0% of the principal amount of Term Loans less the aggregate paid quarterly installments.

In addition, upon a change of control, the Term Loans are repayable in full at the option of either party (which repayment shall be accompanied by repayment of all other outstanding tranches of term loans under the 2022 DFA) in an amount equal to 150.0% to 190.0% of the principal amount of Term Loans less the aggregate paid quarterly installments.

Amendment to 2022 Revenue Participation Right Purchase Agreement

On May 22, 2024, Cytokinetics entered into an amendment (the “Aficamten RPA Amendment”) to the Revenue Participation Right Purchase Agreement dated January 7, 2022 with Royalty Pharma Investments 2019 ICAV (“RPI”) to restructure the royalty so that RPI will now receive 4.5% up to $5.0 billion of worldwide annual net sales of aficamten and 1% above $5.0 billion of worldwide annual net sales compared to the prior 4.5% up to $1.0 billion of worldwide annual net sales and 3.5% above $1.0 billion of annual net sales.

2024 Development Funding Loan Agreement

In addition, on May 22, 2024, we entered into a 2024 Development Funding Loan Agreement (the “2024 DFA”) with RP providing for a loan (the “Loan”) in a principal amount of $100 million drawn at the closing.

The Loan matures on the 10 year anniversary of the funding date and is repayable in quarterly installments as follows:

 

 

Scenario 1: if a Phase 3 clinical trial of proprietary small molecule cardiac myosin activator known as omecamtiv mecarbil is successful (defined as meeting the composite primary endpoint of the first event, whichever occurs first, comprising of cardiovascular death, heart failure event, LVAD implementation/cardiac transplantation, or stroke, with a hazard ratio (HR) of less than 0.85 and cardiovascular death endpoint HR of less than 1.0) by June 30, 2028 and we receive the marketing approval from the U.S. Food and Drug Administration (“FDA”) for omecamtiv mecarbil on or prior to December 31, 2029 (“OM Approval Date”), commencing on the calendar quarter during which the FDA approval is obtained, we are required to pay RP (x) (i) $75.0 million ten (10) business days after the OM Approval Date, and (ii) $25.0 million on the first anniversary of the OM Approval Date and (y) on a quarterly basis an amount equal to 2.0% of the annual worldwide net sales of omecamtiv mecarbil, subject to a minimum floor amount ranging from $5.0 million to $8.0 million during the first 18 calendar quarters (the payment of the 2.0% of the annual worldwide net sales starting from the 19th calendar quarter shall be referred to as the “Royalty Payment”). Our obligation to pay the Royalty Payment will continue after maturity of the Loan;

Scenario 2: if a Phase 3 clinical trial of omecamtiv mecarbil is successful by June 30, 2028 but we have not received the marketing approval from the FDA for omecamtiv mecarbil on or prior to December 31, 2029, we are required to pay RP 18 equal quarterly cash payments totaling 237.5% of the principal amount of the Loan commencing on March 31, 2029;

 

 

Scenario 3: if a Phase 3 clinical trial of omecamtiv mecarbil is not successful by June 30, 2028, we are required to pay RP 22 equal quarterly cash payments totaling 227.5% of the principal amount of the Loan commencing on September 30, 2028;

 

 

Scenario 4: if no Phase 3 clinical trial of omecamtiv mecarbil has been initiated by June 30, 2026, we are required to pay RP 22 equal quarterly cash payments totaling 227.5% of the principal amount of the Loan commencing on September 30, 2026;

(the aggregate amount to be paid by us with respect to each scenario is referred to as the “Scheduled Payment Amount”).

The interest of the Loan is included in the Scheduled Payment Amount for each scenario.

In each scenario, we may prepay the Loan in full (but not in part) at any time at our option by paying an amount equal to the unpaid portion of Scheduled Payment Amount for the outstanding Loan; provided that, in scenario 1, we would be required to continue to pay the Royalty Payment after such prepayment.

In addition, upon the occurrence of a change of control, the Loan is repayable in full at the option of either RP or us in an amount equal to (x) depending on when such change of control occurs, 150.0% to 237.5% of the principal amount of the Loan minus (y) the then paid Scheduled Payment Amount.

The 2024 DFA contains customary representations and warranties and customary affirmative and negative covenants applicable to us and our subsidiaries, including, among other things, restrictions on dispositions, mergers, indebtedness, encumbrances, distributions, stock repurchases, investments and transactions with affiliates. The 2024 DFA also includes customary events of default, including but not limited to the nonpayment of principal or interest, violations of covenants, material adverse changes, attachment, levy, restraint on business, cross-defaults on material indebtedness, bankruptcy, delisting, material judgments, misrepresentations, governmental approvals, payment defaults under other royalty purchase agreements and development funding agreements with RP or RPI. Upon an event of default or simultaneously with payment in full of the term loans in our 2022 DFA, the lenders may, among other things, accelerate the Loan (with the amount payable between 227.5% and 237.5% of the principal amount (less amounts previously paid) in the case of other events of default).

CK-586 Revenue Participation Right Purchase Agreement

On May 22, 2024, Cytokinetics also entered into a CK-586 Revenue Participation Right Purchase agreement (the “CK-586 RPA”) with RPI, pursuant to which RPI purchased rights to certain revenue streams from worldwide net sales of our proprietary small molecule cardiac myosin inhibitor product known as CK-586, by us, our affiliates or our licensees in exchange for up to $200 million in consideration, $50 million of which will be paid upfront and, following the initiation of the first Phase 3 clinical trial (or the Phase 3 portion of the first Phase 2b/3 clinical trial) in heart failure with preserved ejection fraction in humans (“HFpEF”) for CK-586, at RPI’s sole discretion, up to in aggregate $150 million in quarterly payments to fund 50.0% of the research and development cost of CK-586.

Pursuant to the CK-586 RPA, RPI purchased the right to receive a percentage of net sales ranging from 1.0% to up to 4.5% for annual worldwide net sales of CK-586 (depending on the aggregate amounts funded by RPI), subject to reduction in certain circumstances, and will receive a 0.75x milestone payment upon market approval of CK-586 by the FDA, or if market approval of CK-586 by the European Medicines Agency (“EMA”) is obtained prior to market approval by the FDA, 0.375x milestone payment for such obtained approval and 0.375x milestone payment upon subsequent market approval by the FDA.

The CK-586 RPA contains customary representations, warranties and indemnities of each party and customary covenants relating to the royalty payments.

Concurrent Private Placement

On the date of the closing of this offering, and pursuant to that certain Common Stock Option and Purchase Agreement with RPI (the “RP Purchase Agreement”) dated May 22, 2024, we expect to sell and issue 980,392 shares of our common stock to RPI at a price of $51.00 per share. We refer to this transaction as the “concurrent private placement.” The RP Purchase Agreement also includes lockup provisions and is subject to customary closing conditions.

Financial update

For the three-months ended March 31, 2024, we had operating expenses of $127.1 million. As of March 31, 2024, we had cash, cash equivalents, and investments of $634.3 million. Based on our continuing review of anticipated expenditures for the remainder of 2024, which includes the matters referenced under “Use of Proceeds,” we currently expect that our GAAP operating expenses for 2024 will be in the range of $535 million to $555 million and that our non-GAAP adjusted operating expenses for 2024 will be in the range of $420 million to $450 million, in line with the guidance we provided on February 27, 2024. Our non-GAAP adjusted operating expenses represent our forward-looking GAAP operating expenses less $115 million to $105 million in non-cash expenses comprised of stock-based compensation and depreciation included in our forward-looking GAAP operating expenses. In addition, we currently expect that our net cash utilization (which is the beginning and ending period change in cash, cash equivalents and investments) for 2024 will be in the range of $390 million to $420 million.

Adjusted operating expenses is a non-GAAP financial measure that should be considered as supplemental information regarding our operations and should not be considered without also considering our results and guidance prepared in accordance with U.S. GAAP. It should not be considered as a substitute for, or superior to, our U.S. GAAP results and guidance. We believe adjusted operating expenses is a relevant and useful operational measure as our management uses it to budget and plan for the business. We believe that adjusted operating expenses is also useful to investors because similar measures are used by securities analysts, investors and other interested parties in their evaluation of companies in similar industries. However, there is no standardized measurement of adjusted operating expenses, and such metrics as we present them may not be comparable with similarly titled operational measures used by other companies.

Our indebtedness and liabilities could limit the cash flow available for our operations, expose us to risks that could adversely affect our business, financial condition and results of operations and impair our ability to satisfy our obligations under the 4.00% Convertible Notes due 2026, the 3.50% Convertible Notes due 2027 (collectively, the “Convertible Notes”) and the RP Loan Agreements.

 

 

The regulatory approval and marketing authorization process is expensive, time-consuming and uncertain and may prevent our partners or us from obtaining approvals to commercialize some or all of our drug candidates, including aficamten and omecamtiv mecarbil.

 

 

Although the primary results from SEQUOIA-HCM, the pivotal Phase 3 trial of aficamten, in patients with symptomatic obstructive hypertrophic cardiomyopathy, resulted in statistically significant and clinically meaningful improvements for the primary efficacy endpoint and all secondary endpoints, there is no guarantee that the FDA will approve our anticipated new drug application (“NDA”) for aficamten on the basis of SEQUOIA-HCM alone.

 

 

If we or our partners receive regulatory approval for our drug candidates, including aficamten, we or they will be subject to ongoing obligations to and continued regulatory review by the FDA and foreign regulatory agencies, and may be subject to additional post-marketing obligations such as an elements to assure safe use or other form of Risk Evaluation and Mitigation Strategy all of which may result in significant expense and limit commercialization of our potential drugs.

 

 

We received a complete response letter from FDA in response to our NDA for omecamtiv mecarbil. The complete response letter stated that results from an additional clinical trial of omecamtiv mecarbil are required to establish substantial evidence of effectiveness for the treatment of heart failure with reduced ejection fraction, with benefits that outweigh the risks. No assurance can be given that an additional clinical trial of omecamtiv mecarbil will result in substantial evidence of effectiveness for the treatment of heart failure with reduced ejection fraction or that we will be able to address any of the deficiencies noted in the complete response letter and/or obtain FDA approval of our NDA for omecamtiv mecarbil.

 

 

Clinical trials may fail to demonstrate the desired safety and efficacy of our drug candidates which could prevent or significantly delay completion of clinical development and regulatory approval.

 

 

Our clinical trials, including MAPLE-HCM (Metoprolol vs Aficamten in Patients with LVOT Obstruction on Exercise Endpoints Capacity in HCM), ACACIA-HCM (Assessment Comparing Aficamten to Placebo on Cardiac Endpoints In Adults with Non-Obstructive HCM) and FOREST-HCM (Five-Year, Open-Label, Research Evaluation of Sustained Treatment with Aficamten in HCM), are expensive, time-consuming and may be subject to delay.

If we encounter difficulties enrolling patients in our clinical trials, including MAPLE-HCM and ACACIA-HCM, our clinical development activities in relation to aficamten and our other drug candidates could be delayed or otherwise adversely affected.

 

 

The failure to successfully develop, manufacture and obtain regulatory clearance or approval of an antibody-based immunoassay for blood concentrations of omecamtiv mecarbil by Microgenics Corporation, a subsidiary of Thermo Fisher, could harm our development and commercialization strategy for omecamtiv mecarbil in key markets. In addition, if required by regulatory authorities as part of any approved label for omecamtiv mecarbil, we will be dependent on Microgenics to manufacture and commercialize such an immunoassay in sufficient quantities in all key markets in which we may seek to commercialize omecamtiv mecarbil.

 

 

We depend on contract research organizations (“CROs”) to conduct our clinical trials as well as other third parties to manufacture drug candidates for use in clinical trial and we have limited control over their performance. Covenants in the RP Loan Agreements and our various revenue participation right purchase agreements, and the indentures related to our Convertible Notes restrict our business and operations in many ways and if we do not effectively manage our covenants, our financial conditions and results of operations could be adversely affected. For scenario 1 in the 2024 DFA, we can only voluntarily prepay certain portion of our payment obligations and may have a perpetual obligation to pay quarterly royalty payments.

In addition, certain provisions in the 2022 DFA, the 2024 DFA, and the Convertible Notes and the related indentures could make a third-party attempt to acquire us more difficult or expensive. For example, if a takeover constitutes a fundamental change under our indenture, then noteholders will have the right to require us to repurchase their notes for cash. In addition, if a takeover constitutes a make-whole fundamental change under our indenture, then we may be required to temporarily increase the conversion rate. In either case, and in other cases, our obligations under the Convertible Notes and the related indentures could increase the cost of acquiring us or otherwise discourage a third party from acquiring us or removing incumbent management, including in a transaction that noteholders or holders of our common stock may view as favorable. Distributions

Distributions, if any, made on our common stock to a Non-U.S. Holder to the extent made out of our current or accumulated earnings and profits (as determined under U.S. federal income tax principles) generally will constitute dividends for U.S. tax purposes and will be subject to withholding tax at a 30% rate or such lower rate as may be specified by an applicable income tax treaty, subject to the discussions below regarding effectively connected income, backup withholding and foreign accounts. To obtain a reduced rate of withholding under a treaty, a Non-U.S. Holder generally will be required to provide us or our paying agent with a properly executed IRS Form W-8BEN (in the case of individuals) or IRS Form W-8BEN-E (in the case of entities), or other appropriate form, including a U.S. taxpayer identification number, or in certain circumstances, a foreign tax identifying number, and certifying the Non-U.S. Holder’s entitlement to benefits under that treaty. This certification must be provided to us or our paying agent prior to the payment of dividends and must be updated periodically. In the case of a Non-U.S. Holder that is an entity, Treasury regulations and the relevant tax treaty provide rules to determine whether, for purposes of determining the applicability of a tax treaty, dividends will be treated as paid to the entity or to those holding an interest in that entity. If a Non-U.S. Holder holds stock through a financial institution or other agent acting on the holder’s behalf, the holder will be required to provide appropriate documentation to such agent. The holder’s agent will then be required to provide certification to us or our paying agent, either directly or through other intermediaries. If you are eligible for a reduced rate of U.S. federal withholding tax under an income tax treaty and you do not timely file the required certification, you may be able to obtain a refund or credit of any excess amounts withheld by timely filing an appropriate claim for a refund with the IRS. We generally are not required to withhold tax on dividends paid to a Non-U.S. Holder that are effectively connected with the Non-U.S. Holder’s conduct of a trade or business within the United States (and, if required by an applicable income tax treaty, are attributable to a permanent establishment that such holder maintains in the United States) if a properly executed IRS Form W-8ECI, stating that the dividends are so connected, is furnished to us (or, if stock is held through a financial institution or other agent, to such agent) prior to the payment of such dividends. In general, such effectively connected dividends will be subject to U.S. federal income tax, on a net income basis at the regular rates applicable to U.S. Persons. A corporate Non-U.S. Holder receiving effectively connected dividends may also be subject to an additional “branch profits tax,” which is imposed, under certain circumstances, at a rate of 30% (or such lower rate as may be specified by an applicable treaty) on the corporate Non-U.S. Holder’s effectively connected earnings and profits, subject to certain adjustments. To the extent distributions on our common stock, if any, exceed our current and accumulated earnings and profits, they will first reduce the Non-U.S. Holder’s adjusted basis in our common stock, but not below zero, and then will be treated as capital gain to the extent of any excess over such adjusted basis, and taxed in the same manner as gain realized from a sale or other disposition of common stock as described in the next section.

Gain on disposition of our common stock

Subject to the discussions below regarding backup withholding and foreign accounts, a Non-U.S. Holder generally will not be subject to U.S. federal income tax with respect to gain realized on a sale or other disposition of our common stock unless (a) the gain is effectively connected with a trade or business of such holder in the United States (and, if required by an applicable income tax treaty, is attributable to a permanent establishment that such holder maintains in the United States), (b) the Non-U.S. Holder is a nonresident alien individual and is present in the United States for 183 or more days in the taxable year of the disposition and certain other conditions are met or (c) we are or have been a “United States real property holding corporation” (“USRPHC”) within the meaning of Code Section 897(c)(2) at any time within the shorter of the five-year period preceding such disposition or such holder’s holding period. In general, we would be a USRPHC if the aggregate fair market value of our “United States real property interests” (within the meaning of Code Section 897(c)(1)) (“USRPIs”) equals or exceeds fifty percent (50%) of the combined fair market value of our USRPIs, non-U.S. real property interests and our other business assets. We believe that we have not been and we are not, and we do not anticipate becoming, a USRPHC. Even if we are or were to become a USRPHC, gain realized by a Non-U.S. Holder on a disposition of our common stock will not be subject to U.S. federal income tax so long as (1) the Non-U.S. Holder owned, directly, indirectly and constructively, no more than five percent of our common stock at all times within the shorter of (i) the five-year period preceding the disposition or (ii) the holder’s holding period and (2) our common stock is “regularly traded,” as defined by applicable Treasury regulations, on an established securities market. There can be no assurance that we are not and will not become a USRPHC or that our common stock will qualify as regularly traded on an established securities market.

A Non-U.S. Holder described in clause (a) above will be required to pay tax on the net gain derived from the sale or other taxable distribution at regular U.S. federal income tax rates applicable to U.S. Persons, and corporate Non-U.S. Holders described in clause (a) above may, in addition, be subject to a branch profits tax at a 30% rate or such lower rate as may be specified by an applicable income tax treaty, as adjusted for certain items. A Non-U.S. Holder described in clause (b) above will be subject to U.S. federal income tax at a flat 30% rate, or such lower rate as may be specified by an applicable income tax treaty, on gain realized upon the sale or other taxable disposition which gain may be offset by certain U.S.-source capital losses of the Non-U.S. Holder (even though the Non-U.S. Holder is not considered a resident of the United States), provided that the Non-U.S. Holder has timely filed U.S. federal income tax returns with respect to such losses.

Information reporting requirements and backup withholding

Generally, we must report information to the IRS with respect to any distributions we pay on our common stock (even if the payments are exempt from withholding), including the amount of any such distributions, the name and address of the recipient, and the amount, if any, of tax withheld. A similar report is sent to the holder to whom any such distributions are paid. Pursuant to tax treaties or certain other agreements, the IRS may make its reports available to tax authorities in the recipient’s country of residence.

Distributions to a Non-U.S. Holder that are classified as dividends paid by us (or our paying agents) may also be subject to U.S. backup withholding. Backup withholding is not an additional tax. Any amounts withheld under the backup withholding rules may be allowed as a refund or credit against the U.S. federal income tax liability of a Non-U.S. Holder subject to backup withholding, provided that the required information is timely furnished to the IRS.

Foreign accounts

Sections 1471 through 1474 of the Code (commonly referred to as “FATCA”) impose a U.S. federal withholding tax of 30% on certain payments to a foreign financial institution (as defined in the Code) unless such institution enters into an agreement with the U.S. government to withhold on certain payments and to collect and provide to the U.S. tax authorities certain information regarding U.S. account holders of such institution (which includes certain equity holders of such institution, as well as certain account holders that are foreign entities with U.S. owners). FATCA also generally imposes a federal withholding tax of 30% on certain payments to a non-financial foreign entity (as defined in the Code) unless such entity provides the withholding agent with either a certification that it does not have any substantial direct or indirect U.S. owners or provides information regarding substantial direct and indirect U.S. owners of the entity. An intergovernmental agreement between the United States and an applicable foreign country may modify those requirements. The withholding tax described above will not apply if the foreign financial institution or non-financial foreign entity otherwise qualifies for an exemption from the rules. Our certificate of incorporation provides for our board of directors to be divided into three classes serving staggered terms. Approximately one-third of the board of directors will be elected each year. The provision for a classified board could prevent a party who acquires control of a majority of the outstanding voting stock from obtaining control of the board of directors until the second annual stockholders meeting following the date the acquirer obtains the controlling stock interest. The holders of a majority in principal amount of the outstanding debt securities of any series will have the right to direct the time, method and place of conducting any proceeding for any remedy available to the trustee, or exercising any trust or power conferred on the trustee, with respect to the debt securities of that series, provided that:

Modification of Indenture; Waiver

We and the trustee may change an indenture without the consent of any holders with respect to specific matters:
